Terms & Conditions
These Terms & Conditions (“Terms”) govern applications for and acceptance of grants under the Jackie Wurm Grant Program (the “Program”), administered by The Circle Community (TCC) in partnership with The BWC. By applying, you (“Applicant” / “Grantee”) agree to these Terms.
1. Eligibility & Applicant Representations
The Program is open to women-owned businesses (51% or more ownership) located in the Twin Cities and seven-metro surrounding areas (Minnesota).
The business must be a registered legal business entity in good standing with the State of Minnesota and possess any required registrations, licenses, or EIN or tax ID.
The business’s annual revenue must not exceed $300,000 at the time of application.
Applicant agrees to comply with all Program Terms and any additional requirements communicated by TCC or The BWC.
Applicant certifies that all information submitted in the application is true, accurate, and complete.
TCC reserves the right to disqualify any applicant who fails to meet eligibility requirements or who provides false or misleading information.
2. Grant Amount & Disbursement
Grants will be $2,500 - $5,000 (or as otherwise defined for a given cycle) depending on available funding, applicant pool, and review committee decisions.
In selected years, TCC may choose to award standard amounts (e.g. $2,500) to multiple grantees.
Grant payments will be disbursed by TCC via electronic transfer / check on a date determined by TCC for the grant cycle.
Disbursement is contingent upon execution of a Grant Agreement (see Section 7) and any pre-disbursement conditions set by TCC (e.g. attendance at an implementation meeting).
3. Use of Funds & Project Purpose
Grant funds must be used strictly for the purpose described in the application and/or agreed to in the implementation plan.
Funds must be used within six months of disbursement.
Funds may not be used for any purposes inconsistent with federal, state, or local law (e.g. political contributions, illegal activities).
Grantee must maintain records (receipts, invoices, tracking) reflecting how grant funds are used, and such records must be available upon request.
TCC reserves the right to require documentation or proof of expenditures.
4. Implementation Support, Reporting & Participation Requirements
Grantees agree to monthly implementation support meetings: one before disbursement and four subsequent check-in meetings.
As part of approval, grantees will collaborate with TCC to establish metrics and milestones for measuring the impact of the grant funds.
Grantees agree to periodic reporting at predetermined checkpoints (as established in the implementation plan).
Within 30 days after the grant implementation period, grantees must submit answers to a closing survey, a testimonial, and a summary of outcomes.
Grantees accept a 1-year membership to The BWC and agree to participate in monthly Circle meetings (or equivalent obligation under BWC membership) beginning within the first 3 months of the award year.
Failure to satisfy these obligations may result in revocation or requirement to repay all or part of the funds (see Section 6).
5. Publicity, Acknowledgment & Confidentiality
By accepting a grant, the grantee grants TCC and The BWC a nonexclusive right to use their name, logo, likeness, and project description in promotional, reporting, or marketing materials (print, digital, social media).
Grantee agrees that TCC / The BWC may publicly announce the grantee and incorporate a brief case study or success story, provided the grantee is consulted for accuracy.
TCC will make reasonable efforts to treat any information marked “confidential” by the applicant as such, but grantee acknowledges that some application details might be used in aggregated reporting or summary form without identifying details.
6. Withdrawal, Revocation & Repayment
TCC reserves the right to withdraw a grant offer prior to disbursement if findings reveal discrepancies, ineligibility, or material misrepresentations.
If, after disbursement, TCC determines the grantee has materially breached these Terms (e.g. misused funds, failed to report, failed to participate), TCC may require the grantee to repay the grant funds (in full or pro rata) or return unspent funds.
Grantee must return funds within 30 days of request, unless otherwise agreed in writing.
TCC’s decision regarding revocation or repayment is final, though TCC may consider mitigation or partial forgiveness in extenuating circumstances.
7. Grant Agreement & Legal Controls
Prior to disbursement, grantee must sign a formal Grant Agreement that references these Terms and sets forth the specific project plan, budget, timeline, reporting schedule, and other conditions.
The Grant Agreement may include indemnification clauses, audit rights, and disclaimers.
These Terms and the Grant Agreement constitute the entire agreement between parties concerning the grant and supersede earlier communications or understandings.
8. Tax & Compliance
The grantee is solely responsible for any tax liability arising from the grant (e.g. income tax, self-employment tax).
Grantee must comply with all applicable local, state, and federal laws, regulations, and reporting requirements.
TCC and The BWC make no guarantee about tax treatment or deductibility; grantee should consult their tax advisor.
9. Liability & Disclaimers
TCC and The BWC (and their staff, officers, board members, agents) are not liable to the grantee or third parties for any indirect, incidental, consequential, special, or punitive damages arising from or connected with the grant or use of funds.
TCC and The BWC make no warranty (express or implied) regarding the success or performance of the grantee, or that the grant will achieve specific business outcomes.
10. Amendments, Termination & Force Majeure
TCC reserves the right to amend these Terms, program rules, deadlines, award size, or other policies from cycle to cycle; such changes will be published before application opens for the subsequent cycle.
If for any reason the program is terminated or delayed (including due to funding, legal, or external events), TCC’s liability is limited to returning unspent funds.
Neither party is liable for failure or delay caused by events beyond their reasonable control (e.g. natural disasters, pandemics, regulatory changes).
11. Governing Law & Dispute Resolution
These Terms and the Grant Agreement are governed by the laws of the State of Minnesota.
Any disputes arising under these Terms shall be handled by negotiation; if unresolved, parties may agree to mediation or binding arbitration as specified in the Grant Agreement.
12. Acknowledgment & Acceptance
By submitting an application and, if selected, signing the Grant Agreement, the applicant/grantee affirms they have read, understood, and accepted these Terms & Conditions in their entirety.
